1. Introduction

These Terms and Conditions (“Terms”) govern the relationship between Nicola Sandrey, trading as Raven DeLune Agency™ (“I”, “me”, or “my”) and clients, members, partners and website users (“you” or “your”).

By accessing my website, purchasing a service, or engaging my services professionally, you agree to comply with and be bound by these Terms.

2. Sole Ownership and Independent Operation

Raven DeLune Agency™ is independently and exclusively owned and operated by Nicola Sandrey as a sole proprietor through NicolaSandrey.com™.

Nicola Sandrey is the sole owner, founder and operator of:

• NicolaSandrey.com™

• Kiss Confidential™ — VIP digital online-media assistance

• Nicola Sandrey™ and associated official digital profiles

All associated brands, services, platforms, creative structures, business activities and intellectual property are independently owned, controlled and operated by Nicola Sandrey.

No other individual or entity has any ownership interest, partnership interest, co-founder status, management authority or right of representation in relation to Raven DeLune Agency™ or the associated brands unless expressly authorised in writing by Nicola Sandrey.

No person is authorised to:

• Represent Nicola Sandrey or any associated brand without written authority

• Enter into agreements on her behalf without written authority

• Collect or request money in her name without authorisation

• Access, control or manage her accounts without authorisation

• Use her names, branding, images or intellectual property without permission

• Claim ownership, partnership or co-founder status

• Present themselves as an owner, founder, partner, employee, agent or official representative without written authorisation

Only current written authorisation provided directly by Nicola Sandrey can establish an authorised professional relationship or representation.

3. Scope of Services

Raven DeLune Agency™ provides independent digital, creative, artificial-intelligence and technology-led assistance designed to support creators, individuals and brands with their online presence.

Services may include:

• Digital-profile creation and management

• Social-media strategy and assistance

• Content creation and creative writing

• AI-assisted content development

• Digital technology and transformation

• Brand development and profile elevation

• Video, visual and online-media assistance

• Creator support and guidance

• Audience engagement

• Promotional and campaign support

• Website content and digital presentation

• Trend, niche and platform research

• Digital strategy and advisory services

I support creators from lawful backgrounds, industries and creative fields. Services are tailored according to each client’s individual goals, agreed scope of work, timescale and budget.

Raven DeLune Agency™ is an independent digital-services provider and is not owned, operated, sponsored or officially endorsed by any social-media or content-sharing platform unless expressly stated.

4. Client Responsibilities

Clients are responsible for:

• Providing complete, accurate and lawful information

• Ensuring they have permission to provide any images, videos, music, account information or other materials

• Complying with applicable laws and platform policies

• Meeting their own legal, contractual, tax and VAT obligations

• Reviewing and approving content before publication where applicable

• Protecting their passwords, accounts and personal information

• Informing me promptly of any unauthorised account activity

I do not accept responsibility for a client’s individual legal, contractual, tax or VAT obligations.

5. Legal and Ethical Compliance

Clients are responsible for ensuring that their accounts, activities and content comply with applicable laws, regulations and platform policies.

I do not knowingly support or assist with unlawful, abusive, exploitative or deliberately misleading activity, including:

• Child exploitation or abusive material

• Human trafficking or exploitation

• Bestiality or cruelty towards animals

• Fraud, impersonation or identity theft

• Unlawful weapons-related activity

• Hate, harassment or targeted abuse

• Unauthorised access to accounts

• Unauthorised use of images, content or intellectual property

I reserve the right to refuse, suspend or discontinue services where unlawful, harmful, fraudulent or unethical activity is reasonably suspected.

6. Child and Vulnerable-Person Protection

I am committed to protecting children and vulnerable individuals.

I maintain a strict zero-tolerance policy concerning child exploitation, abuse, trafficking, underage explicit material or other illegal or harmful content involving children.

Where a person under 18 appears in lawful creative content, the client is responsible for obtaining any required parental or legal-guardian consent and complying with applicable safeguarding, employment and platform requirements.

Suspected violations may be reported to the relevant platform or appropriate authorities where required by law.

7. Client Acknowledgment

By engaging my services, memberships or partnerships, you confirm that you have read, understood and accepted these Terms and any applicable policies, including:

• Refund Policy

• Cookies Policy

• Child Safety and Content Compliance Policy

Where required, a written or digital service agreement must be completed before work begins.

8. International Services

Raven DeLune Agency™ provides remote digital assistance to clients within the European Union and internationally.

Clients outside the European Union are responsible for complying with the laws, regulations, advertising standards and platform requirements applicable in their own jurisdiction.

I cannot accept responsibility for legal issues arising from a client’s failure to comply with applicable local requirements.

9. Services for Agents and Representatives

Agents or authorised representatives may use my services for an agreed fee.

Anyone instructing me on behalf of another individual, creator, organisation or brand must have appropriate authority and permission to do so.

Using Raven DeLune Agency™ does not remove or replace any client rights, responsibilities or obligations under these Terms.

10. Promotions, Partnerships and Affiliates

I may provide promotional services for creators, influencers, professionals, organisations and brands under separate written agreements.

Paid partnerships, sponsorships, gifted products, affiliate relationships and other commercial arrangements will be identified where required by applicable law or platform policy.

The appearance or mention of a person, creator, organisation, product or trademark does not automatically establish affiliation, sponsorship, endorsement or a commercial relationship.

11. Images and Intellectual Property

Original images, videos, writing, recordings, branding, designs, logos, graphics, concepts, website materials and other original content created or legally owned by Nicola Sandrey are protected by applicable intellectual-property laws.

Original material owned by Nicola Sandrey must not be copied, reproduced, altered, republished, distributed, sold or commercially exploited without prior written permission, except where permitted by law.

This includes material created for or published through:

• NicolaSandrey.com™

• Kiss Confidential™

• 👊🏻🦹🏼👊🏻 THE TRUTH PORTAL🔮🪽 by Nicola™

• Official Nicola Sandrey digital and social-media profiles

Such material must not be used to create false profiles, misleading associations, manipulated identities, digital replicas or unauthorised AI-generated content.

Where AI tools assist with content creation, Nicola Sandrey retains the rights available under applicable law in her original creative contributions, direction, selection, editing, arrangement, branding and final presentation.

Third-party images, music, videos, trademarks and other materials remain the property of their respective owners. Their appearance does not imply ownership, affiliation, partnership, sponsorship or endorsement.

12. Unauthorised Representation and Impersonation

No person may use Nicola Sandrey’s name, image, likeness, voice, branding, biography or business identity in a manner that falsely suggests ownership, authority or an authorised connection.

No person may claim to be an owner, founder, co-founder, partner, director, manager, employee, agent or official representative of Nicola Sandrey, Raven DeLune Agency™, or any associated brand without current written authorisation from Nicola Sandrey.

Any unauthorised representation may be reported to the relevant platform, service provider or appropriate authority where appropriate.

13. Limitation of Liability

To the fullest extent permitted by applicable law, I will not be liable for indirect, incidental, special or consequential losses arising from use of my website or services.

Where liability cannot legally be excluded or limited, my liability will be limited to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

14. Amendments

I may update these Terms when necessary.

Updated Terms will be published on the website with a revised “Last Updated” date. Where legally permitted, continued use of my website or services following an update constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of the Republic of Cyprus.

Subject to any mandatory consumer rights that may apply, disputes will fall under the jurisdiction of the courts of the Republic of Cyprus.

Nothing in these Terms removes any mandatory rights provided under applicable Cyprus or European Union law.
